TERMS OF USE OF THE VOXFI PLATFORM

These Terms of Use (“Terms”) govern the provision by VOXFI BRASIL DIGITAL LTDA. (“VoxFi”, “We”, “Us” and “Our”) of the entertainment and predictive intelligence service known as “VoxFi” to users (“You” or “User(s)”, including “Your”) who obtain one of the following passes to play or interact with the platform: (i) a free pass (“Free Service”); or (ii) a paid pass through a monthly subscription (“VoxFi Pro Service”). Both services are referred to collectively as the “Services”.

The Services will be available concurrently over the Internet through a mobile application (“App”) and the official website (“Website”), on certain Internet-connected devices compatible with the Services (“Compatible Devices”), through the VoxFi platform (“Platform”). By using the Services, You agree to these Terms in full.

1. USING THE SERVICES AND ACCESS REQUIREMENTS

1.1. You confirm that You meet and accept the general requirements set out in these Terms to register for, purchase and use the Services available through Our digital interfaces. These requirements include stable Internet access, full responsibility for all connectivity provider charges and the creation of confidential login credentials.

1.2. As part of registration, You created a username and password to access Your Account. These credentials are confidential and Your sole responsibility (“Authentication Data”). You must contact VoxFi immediately if their confidentiality is compromised.

1.3. You are solely and exclusively responsible for every activity carried out through Your account. You must never use another person’s account or share Your credentials so that others can use Yours. A breach of this security requirement will result in the immediate suspension of account features.

2. REGISTRATION, ELIGIBILITY AND INTERNATIONAL JURISDICTION

2.1. Platform registration is individual, personal, non-transferable and limited to natural persons aged 13 or older. Anyone who does not yet have full legal capacity must obtain permission from a parent or guardian under the law of their country of domicile.

2.2. To create an account and use the Services generally, including subscribing to VoxFi Pro, You must provide valid identification details: (a) a valid CPF number in good standing if You are a natural person residing in the Federative Republic of Brazil; or (b) a valid passport number or equivalent national identity document if You are a natural person residing outside Brazil.

2.3. Foreign users residing outside Brazil who use the Free Service or subscribe to VoxFi Pro will compete in the global analytical skill rankings and be eligible to receive badges, visual medals, cosmetic insignia and internal digital achievements on the Platform.

2.4. Restricted Jurisdictions: Access to and use of the Platform are prohibited for individuals located or residing in countries where local law prohibits skill-based games or requires specific licensing. You are solely responsible for ensuring that Your access through the App or Website complies with the local law of Your jurisdiction.

3. ACCEPTANCE OF TERMS, POLICIES AND REGULATORY COMPLIANCE

3.1. By using the Services, You confirm Your full agreement with: (a) these Terms; (b) the Subscription Agreement applicable to the VoxFi Pro Service; and (c) VoxFi’s Privacy Notice, under which Your personal data will be processed (https://www.voxfi.app/privacy).

3.2. VoxFi is an analytical prediction competition. Ranking results depend solely and exclusively on participants’ ingenuity, expertise, statistical knowledge and skill. Results are not determined by chance or luck.

4. DESCRIPTION OF THE FREEMIUM SERVICE TIERS

4.1. Through the Free Service or the VoxFi Pro Service, Users may take part in polls that aggregate predictions in a binary-choice format (YES/NO), covering topics such as current affairs, economics, markets, geopolitics and entertainment. The Platform may display advertisements, sponsorships and third-party commercial communications at Our sole discretion.

4.2. The specific features and restrictions of each tier are as follows:

• Free Service (FREE): Includes unlimited predictions, access to the general public leaderboard and connected friends’ rankings, and access to the User’s own prediction history for the last 30 days. Participation in this tier is free (R$ 0/month).
• VoxFi Pro Service (PRO): Includes everything in the Free Service, plus a license to use an automated data analysis tool, an ad-free user experience and the ability to create private, invitation-only leagues for friends. It also provides access to a complete, unlimited prediction history, integrated alerts and full Analytics dashboards, including consolidated trends and community consensus maps. A fixed monthly subscription fee of R$ 9.90 applies.

4.3. Optional Integration of Third-Party Offers: The Platform may also provide an integrated technology interface through which Users can be directed to, view and purchase products and services from external institutional partners, entirely at each User’s discretion and according to their interests.

5. SERVICE MANAGEMENT, SUPPORT AND CANCELLATION

5.1. We will provide an online self-service portal and digital help center where You can manage Your profile. Through this channel, You may: (a) change and update personal registration details; (b) consult the current version of these Terms; (c) manage notification and marketing preferences; (d) request technical support or clarification of operational questions; and (e) cancel the Services immediately or terminate Your monthly Pro subscription, with subsequent charges stopping from the next billing cycle.

5.2. If You subscribe to Pro through an app store (Apple App Store or Google Play Store), billing, refunds and cancellation will strictly follow the rules and procedures of the relevant store.

6. INITIAL COMPETITION TERM AND REGULATORY UPDATES

6.1. It is expressly agreed that VoxFi may adjust the operational scoring structure.

6.2. Product configuration rules serve as dynamic parameters for engagement with the technology and may change according to VoxFi’s technical criteria.

6.3. Scoring mechanics will be reviewed periodically based on statistical feedback from Users, subject to applicable laws and regulations.

7. COMPETITIVE CONDUCT AND ANTI-FRAUD MEASURES

7.1. To preserve equal treatment, integrity and ethical standards in games based on analytical skill, the following practices are strictly prohibited and may result in civil liability and immediate exclusion:

• Using or creating false profiles, using another person’s identity or registering multiple accounts (multi-accounting) linked to one or more CPF numbers to defraud or manipulate competitive rankings;
• Using automated tools, bots, scripts, crawlers, data scrapers or artificial intelligence mechanisms programmed to submit predictions in bulk or obtain arbitrage advantages;
• Decompiling, reverse engineering, breaching or attempting to defeat the security systems of the App or Website;
• Exploiting logical loopholes, network latency bugs or system defects (glitches) to obtain artificial gains through early exit (withdrawal).

7.2. If conduct contrary to this section is identified, VoxFi may unilaterally suspend the account as a precaution while it is audited, retroactively invalidate points generated by the violations, permanently disqualify the profile from institutional leagues and revoke the right to receive any accumulated benefit.

8. INTELLECTUAL PROPERTY, CONTENT AND LIMITED LICENSE

8.1. All Services provided on the Platform, including layouts, software, programming code, databases, graphics, interfaces, text, trademarks, statistical inputs and analytical reports, remain VoxFi’s intellectual property or are exclusively licensed to VoxFi, and are protected by Brazilian copyright and industrial property laws.

8.2. We grant You a temporary, revocable, non-exclusive, non-transferable and strictly limited license to use the App and Website interfaces solely for personal, recreational, private and non-commercial purposes, on the exact terms set out in this agreement.

8.3. Assignment of User-Generated Content: You acknowledge and agree that You assign and transfer to VoxFi, free of charge, exclusively and permanently, without any time or territorial limit, all economic copyright rights in content You create or add to the Platform through use of the game, including custom league names, group titles and comments posted in public feeds. VoxFi is expressly authorized to display, archive, reproduce, adapt or transmit this content in advertising materials, audiovisual works, streaming broadcasts (AVOD, SVOD) or promotional linear channels, without owing You any payment.

9. PLATFORM AVAILABILITY AND TECHNICAL STABILITY

9.1. The Services are provided in their current state of technical development (“as is”). VoxFi will use its best commercial efforts to keep the Platform operational. However, given the structural complexity of digital networks and servers, it does not guarantee uninterrupted operation or freedom from bugs, fluctuations or hardware and software defects.

9.2. VoxFi disclaims all civil liability arising from system delays or temporary unavailability caused by preventive or corrective network maintenance, Internet data traffic congestion, technical problems with Your mobile device or disruptions caused by malicious third parties.

9.3. Missing a time window because of a lost connection or service unavailability in the minute before a poll’s prediction market closes does not entitle You to compensation, refunds or retroactive points.

10. LIMITATION OF LIABILITY AND RESOLUTION RULES

10.1. The validation, settlement and determination of outcomes for Factual polls necessarily depend on primary data, statistics and indicators produced by official, reputable external public sources, such as government institutes, official macroeconomic agencies and sports leagues. VoxFi has no technical control over these third parties.

10.2. We therefore accept no responsibility for: (a) subsequent corrections to results, material publication errors originating from official external sources or institutional delays in releasing the data used for settlement; (b) unmet expectations of prizes, lost profits or non-material damages arising from changes in Users’ positions in competitive rankings; (c) poor analytical performance or unsuccessful strategy choices by a Pro User, since the optional subscription provides only technical analytical information and support, without guaranteeing points; (d) any losses arising from services or products offered to You by third-party partners; or (e) macroeconomic changes, asset suspensions or subsequent regulatory changes imposed by the Central Bank of Brazil, CVM, SPA/MF or any other regulator or public body that interrupt, suspend or prevent the offering and settlement of products and services provided by third-party partners.

10.3. If there is any uncertainty about resolution, VoxFi may cancel polls and reverse the applicable points, or choose any resolution that ensures equal treatment among participants.

11. USE OF PERSONAL DATA AND PUBLICATION OF RANKINGS

11.1. By registering for and interacting with the Services, You authorize the processing of Your registration data in accordance with the Privacy Notice and Brazil’s General Personal Data Protection Law (LGPD).

11.2. Upon entering any competitive tier, You grant VoxFi, free of charge, the right to publicly disclose and display Your profile username, score, earned cosmetic achievement badges and current league rankings through its interfaces, including the App, Website, press channels and institutional marketing materials, without any geographical or time limit or entitlement to compensation.

12. INDEMNIFICATION, CONTRACTUAL CHANGES AND COMPETENT COURTS

12.1. You agree to defend, indemnify and hold VoxFi harmless against any losses, damages, civil liabilities, expenses and legal fees arising from a deliberate breach of these Terms or unlawful use of Your account by third parties.

12.2. VoxFi reserves the exclusive right to periodically change the operating rules in these Terms. Changes that impose additional financial costs will be notified in advance. Product operation changes or adjustments to ordinary poll mechanics will be communicated through the Platform. Continued use of the Platform after these communications constitutes Your full acceptance.

12.3. If a competent court finds any provision or condition of these Terms null, invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.4. These Terms of Use are governed and interpreted strictly in accordance with the laws of the Federative Republic of Brazil. Any legal disputes arising from the performance of this promotional agreement will be resolved exclusively before the Central Courts of the Judicial District of the Capital of the State of Rio de Janeiro, to the exclusion of any other venue, however privileged.

ANNEX I: GAME MECHANICS AND SCORING RULES

The basic operating rules determine how points accumulate in VoxFi based on two fundamental event types and User actions:

Every event in the VoxFi ecosystem must be classified as Factual or Democratic:

2. Settlement Rules: Factual Events (Points Locked at Entry)

2.1. For Factual Events, scoring is fixed definitively when the prediction is processed, establishing the entry percentage, which already includes the vote just recorded.

2.2. Gains and losses follow these fixed formulas: Win: +(100 − entry %) points; Loss: −entry % points.

3. Settlement Rules: Democratic Events (Points Locked at Closing)

3.1. For Democratic Events, the percentage recorded at final closing determines the score. Points are settled as follows: Winning Side (Majority): +(100 − your side’s final %) points; Minority Side (Losing): −Your side’s final % points.

4. Early Exit (Withdrawal) Mechanics and Multipliers

4.1. Withdrawal from open factual events follows this algorithm: Withdrawal = current % − entry % − 2. The 2-point deduction is a fixed operating fee intended to discourage speculative behavior.

4.2. Account Verification Multiplier: Cumulative profile verification steps award bonuses: Email Verification (+5%), Phone Verification (+10%) and Identity Verification (KYC) (+25%). Completing all steps gives a 1.40× multiplier, applied strictly to positive scores.

5. Daily Missions, Streaks and Welcome Bonuses

5.1. Daily Missions: Refreshed each day, these award bonus points. Examples include: making 1 prediction a day awards +200 points, counted toward the weekly ranking; making 3 predictions a day awards +50 points; and posting 1 comment a day awards +50 points, among others.

5.2. Streak and Tutorial: Making predictions on consecutive days extends the streak. Skipping a day resets the counter. Completing the basic welcome tutorial awards +120 promotional points once per unique profile, among other bonuses.
